General Terms and Conditions of Sale (CGV)

These General Terms and Conditions of Sale define the rights and obligations of ScanUpGo (Zakaria Zaouat, sole trader, SIREN 888 077 427, Saint-Herblain 44800, France) and any professional Client subscribing to a ScanUpGo Plan. Exclusively B2B application. The French version is the sole authoritative version.

Article 1 β€” Definitions

"ScanUpGo": Zakaria Zaouat, SIREN 888 077 427. "The Client": professional subscribing to a ScanUpGo Plan. "The Plan": chosen subscription (Monthly / Annual / Lifetime License). "The Activation Date": account opening date after payment confirmation. "The Players": Client's end customers participating in the Game. "Third-Party Platform": any third-party service (Google LLC, Meta, TripAdvisor, etc.).

Article 2 β€” Contract Formation

The contract is formed on the date of payment confirmation by ScanUpGo. A confirmation is sent to the Client by email within 24 business hours. Subscription implies full acceptance of these CGV and the CGU.

Article 3 β€” Pricing

Monthly Plan: 550 MAD/month excl. tax, no commitment, automatic monthly renewal. Annual Plan: 5,500 MAD/year excl. tax, firm 12-month commitment, manual renewal. Lifetime License: 15,000 MAD, one-time definitive payment. Prices in Moroccan dirhams (MAD), excl. tax. Price changes possible with 30 days notice β€” active Plans are unaffected until their term.

Article 4 β€” Prior Payment β€” Essential Condition

The Service is conditional on receipt and effective confirmation of payment. No Platform access, no visual materials delivery, and no QR code activation before receipt of payment. Accepted payment methods: international bank transfer, Wise, Moroccan mobile money, or any other method agreed in writing. Late payment: flat-rate penalty of 500 MAD per 7-calendar-day period after formal notice (penalty clause, Art. 1231-5 French Civil Code).

Article 5 β€” Activation and Execution Timelines

After payment confirmation: account activation within 24 business hours, delivery of visual materials (flyers) within 48 business hours, setup support by phone/WhatsApp.

Article 6 β€” Services Included per Plan

Monthly Plan: 3 active games, 2,000 max players, 500 emails/month, 1 flyer at activation, standard support. Annual Plan: unlimited games, unlimited players, unlimited emails, unlimited flyers, priority support, platform updates. Lifetime License: unlimited games, unlimited players, unlimited emails, unlimited flyers, dedicated VIP support, lifetime updates.

Article 7 β€” Termination

Monthly Plan: cancellable by email (48h notice before renewal) β€” current month is non-refundable. Annual Plan: firm 12-month commitment, non-cancellable early, no partial refund. Lifetime License: one-time definitive payment, non-refundable. Termination for breach possible after 5 business days notice with no remedy. Upon expiry: anonymization of Players' data and deletion of Client data within 30 days.

Article 8 β€” Right of Withdrawal β€” Inapplicability

Pursuant to Article L221-3 of the French Consumer Code, the 14-day right of withdrawal does not apply to contracts between professionals. As these CGV apply exclusively in a B2B context, no right of withdrawal is granted to the Client.

Article 9 β€” Legal Qualification of the Game

The fortune wheel offered via ScanUpGo is a free promotional game with no purchase obligation. It does not fall under the lottery prohibition (French law of 21 May 1836) provided the Merchant: makes the game freely accessible without prior purchase, and establishes and makes available Game Rules (Art. L121-36 to L121-41 Consumer Code). The Client is the sole legal organizer of the Game. ScanUpGo is a technical service provider.

Article 10 β€” Absolute Disclaimer: Third-Party Platforms

ScanUpGo is not affiliated with any Third-Party Platform. ScanUpGo neither guarantees nor has any control over: the publication or maintenance of reviews, review removal by algorithms, business listing suspension (Google My Business, etc.), unilateral changes to third-party policies, or local search ranking results. The Client expressly and irrevocably acknowledges these risks and waives any recourse against ScanUpGo. This clause is an essential and determining condition of the contract.

Article 11 β€” Compliance with Moroccan Law

The Client established in Morocco is solely and exclusively responsible for compliance with: Dahir No. 1-58-456 (lotteries), Law No. 31-08 (consumer protection), Law No. 09-08 (personal data / CNDP), the Moroccan Commercial Code, and any applicable sector-specific regulations. ScanUpGo provides no legal advice regarding Moroccan law.

Article 12 β€” ScanUpGo's Liability

ScanUpGo is bound by a best-efforts obligation. Exclusions of liability: any Third-Party Platform decision, Client's violation of Moroccan law, service interruption due to a sub-processor or force majeure, non-compliant use, absence of Game Rules. Cap: sums received over the 3 complete civil months preceding the dispute, up to an absolute limit of 3,000 MAD.

Article 13 β€” Force Majeure

Neither party is liable for non-performance due to force majeure (Art. 1218 French Civil Code): hosting infrastructure failures, cyberattacks, Third-Party Platform policy changes, pandemics, natural disasters, armed conflicts. If the event persists beyond 30 days, either party may terminate without compensation or refund for the future period.

Article 14 β€” Intellectual Property

The Platform is the exclusive property of Zakaria Zaouat / ScanUpGo. The Client has a personal, non-exclusive, non-transferable and revocable right of use, limited to the subscribed Plan's duration. Customized flyers become the Client's property upon delivery. ScanUpGo retains the right to reference them commercially, unless the Client objects in writing within 30 days.

Article 15 β€” Confidentiality and Non-Solicitation

Each party agrees to maintain the confidentiality of information communicated during the contract and for 2 years thereafter. The Client agrees not to solicit ScanUpGo's employees or sub-contractors during the contract and for 12 months following its term.

Article 16 β€” Contract Assignment

ScanUpGo may assign the contract as part of a business transfer, by giving the Client at least 30 days email notice. The Client may terminate without charge within this period. The Client may not assign their rights without prior written consent from ScanUpGo.

Article 17 β€” Anti-Corruption Compliance (Sapin II)

The parties agree to comply with the Sapin II Law (Law No. 2016-1691) and, for Moroccan clients, Law No. 46-19 on anti-corruption. Neither party shall offer any advantage to a public official or third party to improperly obtain a contract or commercial advantage.

Article 18 β€” Rules of Evidence

ScanUpGo's computerized records, kept under reasonable security conditions, constitute proof of orders, payments and communications between the parties (Arts. 1366 and 1367 French Civil Code).

Article 19 β€” Severability

If any clause is declared null or unenforceable, the remaining clauses remain in force. The null clause is deemed unwritten and replaced by the closest lawful equivalent.

Article 20 β€” Governing Law and Dispute Resolution

Governing law: French law, French version authoritative. Mandatory prior amicable resolution: complaint to contact@scanupgo.com, response within 15 business days, 30-day conciliation attempt. Moroccan clients (disputes > 5,000 MAD): CMAP arbitration (www.cmap.fr), enforceable by Moroccan exequatur (Arts. 327-37 et seq. Moroccan Code of Civil Procedure). Disputes ≀ 5,000 MAD and French clients: Nantes Commercial Court.
